Cloudlink Innovations VIP服务(以下简称"VIP服务")由Cloudlink Innovations Limited(以下简称"Cloudlink"或"我们")通过其旗下应用程序及平台向全球用户提供。Cloudlink Innovations是一家注册于香港的科技公司,致力于为全球用户提供高效、安全的网络连接及数字体验增强服务。

《Cloudlink Innovations VIP用户服务协议》(以下简称"本协议")是您(以下简称"会员"或"用户")与Cloudlink之间就VIP服务相关事宜订立的协议,对双方均具有法律约束力。请您在使用服务前,仔细阅读本协议全部内容,特别是加粗部分,这些内容可能与您的权益密切相关。如您对本协议任何条款有异议,请立即停止使用VIP服务。

若您继续使用VIP服务,即表示您已充分阅读、理解并接受本协议的全部内容。

一、服务说明

  1. VIP会员:指完成注册、购买或其他Cloudlink认可的方式获得VIP会籍,并在遵守本协议的前提下享有VIP服务的用户。
  2. VIP服务:指Cloudlink向VIP会员提供的专属权益,具体以会员中心页面公示为准。
  3. 全球服务:我们的服务面向全球用户,您理解并同意不同国家/地区的法律法规可能影响部分服务的可用性。
  4. 协议范围:本协议是《Cloudlink用户协议》及《Cloudlink隐私政策》的补充协议,与其具有同等法律效力。若存在冲突,以本协议为准。
  5. 服务规则:Cloudlink有权不时发布或修订与VIP服务相关的规则、公告、说明等,一经发布即成为本协议的有效组成部分。

二、账号与使用

  1. 账号绑定:VIP服务与您的Cloudlink账号绑定,您应妥善保管账号及密码,并对该账号下发生的行为负责。
  2. 使用原则:您应遵守所在国家/地区及服务使用地的法律法规,不得利用VIP服务从事违法违规行为。
  3. 地域限制:部分服务内容可能因您所在的国家/地区而受到限制,这取决于版权要求、当地法律法规和其他因素。
  4. 设备兼容性:VIP服务可能因设备、操作系统、软件版本等因素存在差异,建议您保持系统更新以获得最佳体验。

三、会员权益

  1. 权益内容:VIP会员可享受包括但不限于加速服务、专属内容、优先客服、活动参与等权益,具体以Cloudlink官方说明为准。
  2. 权益调整:Cloudlink有权根据运营需要、法律法规要求或合作方政策调整VIP权益内容,并通过适当方式通知用户。
  3. 虚拟资产:会员可能通过VIP服务获得积分、优惠券等虚拟产品,其使用规则及有效期以Cloudlink公布为准,不可兑换现金、不可转让。

四、收费与续费

  1. 货币与支付:服务费用以美元或其他当地货币标价,具体以购买页面显示为准。您理解并同意可能产生的货币兑换费用或银行手续费。
  2. 收费标准:VIP服务为付费服务,具体价格及周期以购买页面显示为准。Cloudlink有权根据运营策略调整价格,调整前将通过公告等方式通知。
  3. 自动续费:若您开启自动续费功能,即授权Cloudlink在服务到期前自动扣费。您可随时在账号设置中关闭自动续费。
  4. 退款政策:VIP服务开通后7天内可申请无理由退款,逾期不予退款。退款政策可能因您所在的国家/地区而有所不同。

五、行为规范与违约处理

  1. 禁止行为:包括但不限于:
    • 转让、出租、出借VIP账号;
    • 破解、篡改、干扰VIP服务系统;
    • 利用VIP权益从事商业活动;
    • 其他违反法律法规或本协议的行为。
  2. 违约处理:如用户违反本协议,Cloudlink有权视情节采取限制服务、终止会籍、追究法律责任等措施。

六、服务变更与终止

  1. 服务中断:因系统维护、升级、不可抗力等原因可能导致服务中断,Cloudlink将尽力减少中断时间。
  2. 终止情形:用户可主动终止服务;Cloudlink有权在用户违约、法律法规要求等情况下终止服务。
  3. 终止后果:服务终止后,未使用的VIP权益将自动失效,已支付费用不予退还(法律法规另有规定除外)。

七、数据保护与隐私

Cloudlink高度重视用户隐私,将按照《隐私政策》合法处理您的个人信息。我们可能会将数据存储在香港或其他国家的服务器上,但会采取适当保护措施。对于欧盟用户,我们遵守GDPR规定;对于加州用户,我们遵守CCPA规定。

九、法律适用与争议解决

  1. 适用法律:本协议受香港特别行政区法律管辖并按其解释。
  2. 争议解决:因本协议产生的任何争议,双方应首先通过友好协商解决。协商不成的,任何一方均可将争议提交香港国际仲裁中心按照其仲裁规则进行仲裁。
  3. 消费者保护:尽管有上述规定,如果您是消费者,您可能享有您居住国法律赋予的额外权利,这些权利不受本协议影响。

十、其他条款

  1. 可分割性:如果本协议任何条款被认定为无效或不可执行,不影响其他条款的效力。
  2. 多语言版本:如本协议有多种语言版本,以英文版本为准。
  3. 协议修改:Cloudlink有权修订本协议,修订后的协议通过适当方式公布后生效。若您继续使用服务,即视为接受修订。

十一、全文生效

本协议自更新之日起生效,取代以往任何口头或书面约定。

Welcome to Cloudlink Innovations VIP Membership Service!

The Cloudlink Innovations VIP service (hereinafter referred to as the "VIP Service") is provided to global users by Cloudlink Innovations Limited (hereinafter referred to as "Cloudlink" or "We") through its applications and platforms. Cloudlink Innovations is a technology company registered in Hong Kong, dedicated to providing efficient, secure network connection and digital experience enhancement services to global users.

This Cloudlink Innovations VIP Membership Service Agreement (hereinafter referred to as this "Agreement") is an agreement concluded between you (hereinafter referred to as "Member" or "User") and Cloudlink regarding the VIP Service matters, and is legally binding on both parties. Please read the entire content of this Agreement carefully before using the service, especially the bolded parts, as they may be closely related to your rights and interests. If you disagree with any provision of this Agreement, please stop using the VIP Service immediately.

Your continued use of the VIP Service indicates that you have fully read, understood, and accepted all contents of this Agreement.

1. Service Description

  1. VIP Member: Refers to a user who has obtained VIP membership by completing registration, purchase, or other methods recognized by Cloudlink, and enjoys the VIP Service under the premise of complying with this Agreement.
  2. VIP Service: Refers to the exclusive rights and interests provided by Cloudlink to VIP Members, details of which are subject to the announcement on the membership center page.
  3. Global Service: Our services are aimed at global users. You understand and agree that laws and regulations of different countries/regions may affect the availability of some services.
  4. Scope of Agreement: This Agreement is a supplementary agreement to the 《Cloudlink User Agreement》 and the 《Cloudlink Privacy Policy》, and has the same legal effect as them. In case of conflict, this Agreement shall prevail.
  5. Service Rules: Cloudlink has the right to issue or revise rules, announcements, instructions, etc., related to the VIP Service from time to time, which will become an integral part of this Agreement upon publication.

2. Account and Usage

  1. Account Binding: The VIP Service is bound to your Cloudlink account. You shall properly keep your account and password safe and are responsible for all activities under your account.
  2. Usage Principle: You shall comply with the laws and regulations of your country/region and the place where the service is used, and shall not use the VIP Service for any illegal or non-compliant activities.
  3. Geographical Restrictions: Some service content may be restricted based on your country/region, depending on copyright requirements, local laws and regulations, and other factors.
  4. Device Compatibility: The VIP Service may vary due to factors such as device, operating system, and software version. It is recommended that you keep your system updated for the best experience.

3. Membership Rights and Benefits

  1. Benefits Content: VIP Members can enjoy benefits including but not limited to acceleration services, exclusive content, priority customer service, and event participation. Details are subject to Cloudlink's official description.
  2. Benefits Adjustment: Cloudlink has the right to adjust VIP benefits based on operational needs, legal and regulatory requirements, or partner policies, and will notify users through appropriate means.
  3. Virtual Assets: Members may obtain virtual products such as points and coupons through the VIP Service. Their usage rules and validity period are subject to Cloudlink's announcements. They cannot be exchanged for cash or transferred.

4. Fees and Renewal

  1. Currency and Payment: Service fees are priced in US dollars or other local currencies, subject to the display on the purchase page. You understand and agree that currency exchange fees or bank handling charges may occur.
  2. Fee Standard: The VIP Service is a paid service. The specific price and cycle are subject to the display on the purchase page. Cloudlink has the right to adjust prices based on operational strategies, and will notify users through announcements before adjustment.
  3. Auto-renewal: If you enable the auto-renewal function, you authorize Cloudlink to automatically deduct fees before the service expires. You can turn off auto-renewal in your account settings at any time.
  4. Refund Policy: You can apply for a no-reason refund within 7 days after the VIP Service is activated. No refund will be provided after this period. The refund policy may vary depending on your country/region.

5. Code of Conduct and Breach Handling

  1. Prohibited Behaviors: Include but are not limited to:
    • Transferring, renting, or lending VIP accounts;
    • Cracking, tampering with, or interfering with the VIP service system;
    • Using VIP benefits for commercial activities;
    • Other behaviors that violate laws, regulations, or this Agreement.
  2. Breach Handling: If a user violates this Agreement, Cloudlink has the right to take measures such as restricting services, terminating membership, or pursuing legal liability depending on the circumstances.

6. Service Change and Termination

  1. Service Interruption: Service interruptions may occur due to system maintenance, upgrades, force majeure, etc. Cloudlink will endeavor to minimize interruption time.
  2. Termination Circumstances: Users can actively terminate the service; Cloudlink has the right to terminate the service in cases of user breach, legal and regulatory requirements, etc.
  3. Consequences of Termination: After service termination, unused VIP benefits will automatically expire, and paid fees will not be refunded (unless otherwise provided by laws and regulations).

7. Data Protection and Privacy

Cloudlink highly values user privacy and will process your personal information lawfully in accordance with the 《Privacy Policy》. We may store data on servers in Hong Kong or other countries but will take appropriate protective measures. For EU users, we comply with GDPR regulations; for California users, we comply with CCPA regulations.

9. Governing Law and Dispute Resolution

  1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
  2. Dispute Resolution: Any dispute arising from this Agreement shall first be resolved through friendly negotiation between the parties. If negotiation fails, either party may submit the dispute to the Hong Kong International Arbitration Centre for arbitration in accordance with its arbitration rules.
  3. Consumer Protection: Notwithstanding the above, if you are a consumer, you may have additional rights granted by the laws of your country of residence, which are not affected by this Agreement.

10. Miscellaneous

  1. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  2. Multi-language Version: If this Agreement is provided in multiple languages, the English version shall prevail.
  3. Agreement Modification: Cloudlink has the right to amend this Agreement. The amended agreement will take effect after being published through appropriate means. Your continued use of the service shall be deemed as acceptance of the amendments.

11. Entire Agreement and Effectiveness

This Agreement takes effect from the date of update and replaces any previous oral or written agreements.
